CUSTOM ORDERS & COMMERCIAL PROJECTS
1. Deposit Requirements
1. Custom Products
A non-refundable deposit equal to fifty percent (50%) of the total order value is required before any custom or made-to-order product enters production. The remaining balance is due prior to shipment or delivery.
2. Nonrefundable Nature of Deposits & Sales
All deposits are non-refundable once production has commenced. “Production commencement” is defined as the earlier of: (a) cutting or processing of materials specific to the Customer’s order; or (b) seven (7) calendar days following receipt of deposit, unless Moss Trinity has
communicated in writing that production has not yet begun.
If a Customer cancels a custom or commercial order prior to production commencement, the deposit may be refunded at Moss Trinity’s sole discretion, less any administrative or material procurement fees incurred.
3. Deposit Payment Methods
Deposits are accepted via the following methods:
• Credit or debit card (Visa, Mastercard, American Express, Discover)
• ACH / bank transfer
• Check (business checks accepted for established wholesale accounts; personal checks require 5-business-day clearance before production begins)
All deposits must clear before production is scheduled or materials are ordered.
4. Deposit Invoicing
4.1 Payment Terms
Moss Trinity will issue a formal invoice upon order confirmation. Each invoice will clearly itemize the following project details:
• Financials: Total contract value, required deposit amount, remaining balance, and final payment due dates.
• Scope of Work: Detailed order description, including framing specifications, custom moss design configurations, and any special material requests.
• Timeline: Approved project estimates and the estimated production lead time for completion.
4.2 Payment & Scheduling
Invoices are payable within five (5) business days of issuance unless alternative terms are mutually agreed upon in writing. To maintain project timelines, unpaid invoices beyond this five-day window may result in the forfeiture of the reserved production slot. Estimate approvals typically require a processing window of three to five (3–5) business days.
4.3 Progress Payments & Project Holds
For projects requiring milestones, if a Customer fails to make scheduled progress payments, Moss Trinity reserves the right to pause production and place the project on a “Project Hold.” During a Project Hold, the following terms apply:
• Work Cessation: No further fabrication, design, or logistical work will be performed until all outstanding payments are received in full.
• Exemption from Liability: Moss Trinity is explicitly not responsible for any project delays, extended lead times, or downstream damages resulting from a Project Hold caused by late payment.
• Termination Threshold: If a Project Hold extends beyond thirty (30) calendar days due to non-payment, Moss Trinity reserves the right to terminate the agreement entirely, retain all deposits paid to date, and seek full recovery for direct material and labor costs incurred up to that point.
5. Changes to Scope After Deposit
If the Customer requests changes to the project scope after the deposit has been paid that increase the total order value, Moss Trinity will issue a change order. The Customer must approve the change order in writing and pay any additional deposit or balance adjustment before work reflecting the change begins.
6. Disputes
Any dispute regarding deposit amounts, refund eligibility, or payment terms shall be governed by the laws of the State of Nevada. Moss Trinity and the Customer agree to attempt resolution through good-faith negotiation before pursuing formal legal remedies.
